GTC of agreements for electronic assembly service orders

Please read the terms and conditions of the contract installation regulations offered by Sonel. Learn more about the conditions and procedures of our installation services.

Article 1
GENERAL PROVISIONS

1. These general terms and conditions of agreements for electronic assembly service orders at SONEL S.A., hereinafter referred to as the "GTC", define the rules on the basis of which the Client, hereinafter referred to as the "Client", will order and SONEL SA, hereinafter referred to as "Sonel", will manufacture electronic modules, hereinafter referred to as "Products", unless otherwise provided for in an individual agreement between the Parties.

2. Sonel shall each time make Products according to written orders placed by the Client; such orders must meet the criteria specified in these GTC. For the avoidance of doubt, the Parties declare that each time when the Client places an order in accordance with the provisions of this Agreement and Sonel confirms such an order, the Parties conclude an agreement for completion of the Products covered by the order to which the provisions of these GTC apply. In the event of any discrepancies between the Order and the Confirmation, the Parties cease to be bound by the content of the Order, however, after mutual approval of the content of the Confirmation, the Order shall apply in the wording agreed by the Parties.

3. The execution of orders for electronic assembly services may include:

  • design of printed circuit boards,
  • purchase of printed components and circuit boards,
  • assembly of components,
  • complementary mechanical assembly,
  • application of protective coatings,
  • testing and commissioning of modules,
  • packaging.

4. Sonel shall make the Products according to the technical documentation owned and provided by the Client. Components will be assembled in accordance with standard IPC-A-610D PL class II.

 

Article 2
DOCUMENTATION

1. The documentation provided by the Client includes:
a) Complete bill of materials (BOM)

  • For specific components, it is required to provide the type designation from the catalogue of the specific supplier or manufacturer.
  • In addition, it is important to inform whether the components require special preparation before assembly, such as programming.
  • The Client undertakes to specify all parameters of all components that are important to the Client.
  • Required file formats: *.doc, *.xls, *.xlsx, *.txt.

b) A set of assembly drawings (for all stages of production) should include:

  • Drawings with visible SMD components, for top and bottom sides (Figure 1).
  • Drawings with visible THT components for t&b sides (Figure 2) and notes concerning special assembly requirements for components, such as gluing, assembly at a specific distance, crimping, etc.,
  • Drawings showing mechanical operations, e.g. screwing, riveting, mounting to the housing
  • Required file formats: *.jpg, *.pdf, *.tiff.

c) Documentation for making a printed circuit board (PCB)

PCB technical data:

  • design_name
  • board type: double-sided with metallization
  • laminate: FR4, 1.55 mm, 35 um
  • solder mask: YES, double-sided
  • description: YES, double-sided, white
  • finishing: Lead-free HAL
  • non-metallized holes: YES (in a separate set)
  • machining: milling and cutting

Setpoints:

  • In order to properly determine the position of the board in the machine, it is necessary to place reference points on the PCB, which will be recognised by the vision processing unit. The point may be a square, a circle, or a single/double cross. At least 1mm area without solder mask should be left around the point.

PCB dimensions:

  • Maximum PCB size for design with SMD and THT components: 340x250mm. Including margins of at least 3mm, the working area is 340x244mm.

d) Component coordinates (pick&place)

  • coordinates of setpoints relative to the reference point (Fig. 3) - Fid.1 (x, y)
  • name (component designation) e.g. R15
  • housing type (e.g. 0805)
  • component centre coordinates relative to the reference point (Fig. 3) (Mid X, Mid Y)
  • component rotation angle (Rotation). For non-polarized components, use 0 or 90 degrees depending on orientation. Rotation of components with specific polarisation should be described in accordance with Fig. 4.
  • component value, e.g. 10k 
  • Recommended file formats: *.xls, *.csv, *.txt
  • *.pdf file format is not recommended

e) Documentation for preparing a template for paste

  • PCB panel view: top and bottom paste layer 
  • Outline of the entire panel
  • Panel setpoints located on the paste layer

f) Packing documentation.

Article 3
ELECTRONIC COMPONENTS

1. The GTC can apply on the basis of components purchased by Sonel; in that case, Sonel declares, and the Client accepts that the components Sonel must purchase in order to manufacture the Products are available only in bulk packaging. Therefore, Sonel will have at its disposal the number of components above the quantity needed to manufacture the Products, which the Client undertakes to purchase from Sonel after Sonel has completed the order.  

2. The GTC may apply on the basis of components provided by the Client, then the components will be delivered in original packaging, taking into account the so-called overage:

  • components delivered in tapes with the so-called spacer of at least 30 cm, taking into account 2% surplus compared to the quantity specified in the documentation,
  • components delivered in strips, taking into account 2% surplus compared to the quantity specified in the documentation,
  • components delivered in trays, taking into account 0.5% surplus compared to the quantity specified in the documentation,
  • other components, taking into account 1% surplus compared to the quantity specified in the documentation,
  • printed circuit boards will be delivered without the so-called strike-offs.

3. The GTC may apply in part on the basis of components purchased by Sonel and in part provided by the Client. The provisions of par. 1 shall apply in the part concerning the components purchased by Sonel, while the provisions of par. 2 shall apply in the part concerning the components provided by the Client.

4. Sonel may withdraw from the execution of the order if the Client delivers components older than one year or inconsistent with the MSL specified by the manufacturer.

5. Sonel runs a warehouse of components, service as per FIFO.

 

Article 4
ORDERS

1. The Client undertakes to submit Orders for Products to Sonel in advance, at least as specified in Sonel's offer, counted in working days.

2. Persons holding a written authorisation to issue Orders shall have the right to issue the Orders referred to above.

3. The Orders referred to above shall specify the quantity of Products, the unit price of Products and the date of completion and delivery of Products.

4. The Client may not order less Products than the minimum quantity of a single order specified in Sonel's offer.

5. The orders referred to above shall be delivered to Sonel in electronic form at [email protected] by 3.00 p.m. on working days. An order sent after 3.00 p.m. shall be deemed delivered on the next working day. Sonel undertakes to confirm or reject the order referred to above within 15 working days from the date of its receipt. The order shall be confirmed or rejected in electronic form, to the Client's e-mail address or by fax. If Sonel fails to reply within the above-mentioned period of 15 days, the Order is deemed rejected.

6. Sonel S.A. reserves the right to make changes to the prices suggested in the order in the case of an increase in the prices of materials and raw materials and the occurrence of other significant circumstances that may cause an increase in the manufacturing costs of products.

Article 5
RECEIPT

1. The place of receipt of the Products is the Sonel’s warehouse in Świdnica at ul. Wokulskiego 11.

2. Sonel shall inform the Client about the completed batch of the Order prepared for receipt at least 1 day in advance.

3. The Client undertakes to collect the Products within 3 working days from the moment of notification by Sonel in accordance with par. 2. If the Products are not collected within the above-mentioned period, it is deemed that the Client has collected the Products.

4. The report drawn up on the basis of the above paragraph by the Client confirms the quantity and quality of the received Products.

5. In the case referred to in par. 3, second sentence hereof, Sonel has the right to send, at the expense and risk of the Client, the batch of the Order submitted for collection.

 

Article 6
PAYMENTS

1. The Client shall pay Sonel remuneration for the completion of Products by Sonel, calculated on the basis of the unit rate for each item of the Product in accordance with Sonel's offer.  

2. Changes in the remuneration rates will be made by agreement between the Parties in the form of a new Sonel offer.

3. The Parties agree that payments will be made on the basis of a VAT invoice to Sonel's bank account indicated in the invoice, within the period specified in Sonel's offer.

4. The basis for issuing a VAT invoice for the remuneration for the completion of Products is a signed proof of handing over the Products to the Client, e.g. a delivery note or a waybill.

5. The Client declares that it authorises Sonel to issue VAT invoices without the Client's signature.Za wykonanie przez Sonel Produktów Zamawiający płacić będzie Sonel wynagrodzenie, wyliczone na podstawie stawki jednostkowej za każdą sztukę Produktu zgodnie z daną ofertą Sonel. 

 

Article 7
LIABILITY

1. Sonel's warranty period for the delivered Products shall be 12 months from the date of receipt of the Products by the Client.

2. Sonel shall not be liable for structural defects of the Product and for defects of the Products resulting from defective Components delivered by the Client. In other cases, the liability is limited to the value of the completed delivery subject to complaint.

3. Sonel shall not be liable for delays in the delivery of Products or for other irregularities for reasons not attributable to Sonel and whose consequences could not be prevented in a manner enabling proper performance of obligations, including for failure to perform or improper performance of obligations imposed on the Client. However, in each case Sonel is required to exercise due diligence to comply with its obligations in a timely manner and to immediately notify the Client of any objective obstacles that are impossible or excessively difficult to overcome, in order to temporarily agree on different terms of the delivery of Products until the obstacle is removed.

 

Article 8
DAMAGES AND CONTRACTUAL PENALTIES

1. Sonel shall not be liable for any delay in the execution of the order. The Client is not entitled to any claims for damages against Sonel on this account. 

2. In the event of the Client's delay in the payment of any amount due under this Agreement, Sonel may demand that the Client pay interest of 0.05% of the unpaid payment for each day of delay.

3. Sonel reserves the right to charge a contractual penalty of 100% of the value of uncompleted Orders for withdrawal from the Order for reasons attributable to the Client.

 

Article 9
CONFIDENTIALITY

1. Sonel undertakes to keep the received documentation confidential and not to disclose it to third parties without prior written consent of the Client. The above obligation does not apply to Sonel employees and associates. The confidentiality obligation applies throughout the Agreement.

2. Sonel and the Client are required to maintain confidentiality of information concerning the terms of the Agreement. 

Article 10
FINAL PROVISIONS

1. Any disputes arising from the application of the provisions of these GTC shall be settled amicably, and if no agreement is reached, they shall be submitted to the court competent for the registered office of Sonel.

2. In matters not governed by these GTC, the provisions of the Civil Code shall apply.
